This is an excellent opportunity for an experienced Corporate & Governance Officer with strong experience in board and committee support, corporate governance, and statutory compliance. The Corporate & Governance Officer will play a key role in supporting the CEO, Board, and senior leadership team, ensuring effective governance, compliance, and high-quality corporate administration across the organisation.

Key Responsibilities

• Provide comprehensive Board and Committee support, including scheduling meetings, preparing agendas and board papers, attending meetings, and taking accurate minutes.
• Maintain Board and Committee workplans, action logs, and governance calendars to ensure effective follow-up and compliance.
• Support corporate governance and company secretarial activities, including statutory filings, Companies House submissions, and maintaining statutory registers.
• Assist in the development, review, and maintenance of governance frameworks, policies, and procedures.
• Support risk management activity, including maintaining the corporate risk register and assisting with internal and external audits.
• Prepare governance-related reports, briefings, and presentations for senior leaders and Board members.
• Liaise with senior stakeholders, regulators, auditors, and external advisors, acting as a point of contact for governance-related matters.
• Maintain accurate corporate records and ensure confidentiality and compliance with data protection requirements.

About You

• Proven experience working as a Corporate & Governance Officer, Governance Officer, or in a company secretariat or senior PA/EA role with significant board exposure.
• Strong understanding of corporate governance principles and statutory compliance, including knowledge of the Companies Act.
• Excellent minute-taking and written communication skills with high attention to detail.
• Highly organised, proactive, and able to manage multiple priorities in a fast-paced environment.
• Confident working independently and professionally with senior stakeholders and Board members.
• Strong IT skills, including MS Office and experience using board portal systems such as Diligent, BoardEffect, or Convene.
